Terms of Service

1. Acceptance of Terms

By accessing or using the gSquare Labs platform, including g²Rent and g²Lend (the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Services. These terms constitute a legally binding agreement between you and gSquare Labs LLC.

2. Description of Service

gSquare Labs provides payment servicing tools for independent landlords and private lenders:

• g²Rent — a rental payment collection and tracking platform that helps landlords manage rent payments, send notifications, and maintain payment records for their rental properties.
• g²Lend — a seller-financed mortgage servicing platform that helps private lenders track amortization schedules, record payments, generate tax forms, and manage their loan portfolios.

The Services facilitate payment tracking and record-keeping. We are not a bank, financial institution, or property management company.

3. Account Registration

To use our Services, you must:

• Provide accurate and complete registration information.
• Maintain one account per person. Duplicate accounts may be merged or removed.
• Keep your login credentials secure. You are responsible for all activity under your account.
• Be at least 18 years of age.

4. Billing and Fees

• g²Rent: $12/mo for your first unit, $3/mo for each additional unit (75% volume discount).
• g²Lend: $20/mo for your first mortgage, $15/mo for each additional mortgage (25% volume discount).
• Platform fees are per-obligation monthly subscriptions charged automatically to the landlord or lender, not to the tenant or borrower. Each additional obligation beyond the first receives a volume discount as described above.
• New accounts receive a 60-day free trial on your first property. During the trial period, all platform features are fully available at no charge. After the 60-day trial, your subscription begins and is billed monthly. You may cancel at any time.
• All payment processing is handled by Stripe. You must have a valid payment method on file.
• ACH processing fees charged by Stripe (separate from gSquare Labs platform fees) are disclosed during Stripe Connect onboarding.
• If a subscription payment fails, you will be notified and automatic retries will occur on Day 3 and Day 7. If fees remain unpaid after 14 days, your service will be suspended: new payment recording will be paused, receipts and notifications will not be sent, and you will not be able to create new obligations. Existing data remains accessible in read-only mode. Payments received during suspension are tracked silently and become visible once fees are paid.
• If fees remain unpaid for 60 days, your account will be automatically deactivated, with 90-day data retention as described in Section 12.
• A reinstatement fee applies when restoring service after suspension due to unpaid fees: $25 for g²Rent, $42 for g²Lend (both apply if you use both products). This reinstatement fee does NOT apply to voluntary account cancellation.

5. Stripe Connect

You may optionally enable ACH collection from your tenants or borrowers through Stripe Connect. By using this feature, you agree to Stripe's Connected Account Agreement. ACH processing fees are set by Stripe and are separate from gSquare Labs platform fees. gSquare Labs is not responsible for Stripe's processing times, fees, or disputes.

6. Gmail Integration

Gmail integration is entirely optional. If enabled, it sets up email forwarding from your Gmail account so that payment notification emails (e.g., from ATH Móvil, Zelle, PayPal) are automatically forwarded to our system for parsing. We do not read, store, or access any email content beyond extracting payment amounts, dates, and sender information from forwarded payment notifications. You can disconnect Gmail forwarding at any time from your Settings.

7. Intellectual Property

The gSquare Labs platform, including its design, code, logos, and branding, is the property of gSquare Labs LLC. You retain full ownership of all data you enter into the platform, including property records, payment histories, and tenant or borrower information. You grant us a limited license to use your data solely for the purpose of providing the Services.

8. User Conduct

You agree not to:

• Use the Services for any fraudulent, illegal, or unauthorized purpose.
• Attempt to gain unauthorized access to other users' accounts or data.
• Interfere with or disrupt the integrity or performance of the Services.
• Reverse engineer, decompile, or disassemble any part of the platform.
• Use the Services to harass, abuse, or harm other users.

9. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. gSquare Labs does not warrant that the Services will be uninterrupted, error-free, or secure at all times.

10. Limitation of Liability

gSquare Labs provides tools for payment tracking and servicing. We are not a party to any payment, rental, or mortgage agreement between our users. To the maximum extent permitted by law:

• We are not liable for payment disputes between landlords and tenants, or between lenders and borrowers.
• We are not a bank, financial institution, or licensed property management company.
• Tax forms and documents generated by the platform — including but not limited to Formulario 480.7A, IRS Form 1098, IRS Form 6252, Texas Property Code § 5.077 annual statements, and year-end borrower, seller, and landlord summaries — are informational tools only and are NOT official government documents. They do not replace official forms from the IRS, the Puerto Rico Department of Treasury (Hacienda), or any other tax authority. Tax forms are provided as a convenience and do not constitute legal, financial, or tax advice. Users are solely responsible for verifying all tax information with a qualified CPA, licensed tax preparer, or legal advisor before filing or making financial decisions based on this information.
• Our total liability to you for any claims arising from the use of the Services shall not exceed the fees you have paid to us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless gSquare Labs LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in any way connected with your use of the Services, your violation of these Terms, or your violation of any rights of another party, including any tenant, borrower, or third party.

12. Termination and Data Export

You may cancel your account at any time from your Settings page. Before cancellation, you may export your data — including payment histories, property records, and financial statements — from your account dashboard. Upon cancellation, your data will be retained for 90 days as described in our Privacy Policy. After 90 days, your data becomes eligible for permanent deletion. We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or abuse the platform. We will make reasonable efforts to notify you before any suspension or termination.

Accounts with unpaid platform fees for 60 or more days will be automatically deactivated. A reinstatement fee ($25 for g²Rent, $42 for g²Lend — both apply if you use both products) is required to restore service after fee-based deactivation, in addition to all outstanding platform fees. Data retention and deletion follow the same 90-day policy as voluntary cancellation.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Puerto Rico, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved in the courts of Puerto Rico.

14. Changes to Terms

We may modify these Terms of Service from time to time. When we make material changes, we will provide at least 30 days' notice via the email address associated with your account before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated terms.

15. Utility Billing

g²Rent includes an optional utility billing feature that allows landlords to pass utility costs through to tenants via the platform. By using this feature, you acknowledge and agree that:

• The landlord is solely responsible for the accuracy of all utility charges entered into the platform, including amounts, provider names, and billing periods.
• gSquare Labs does not verify, audit, or guarantee the accuracy of any utility amounts or data entered by landlords.
• Utility charges are informational pass-through entries included on tenant invoices as a convenience. gSquare Labs is not a utility company and does not provide, meter, or regulate utility services.
• Any disputes regarding utility charges — including amounts, allocation methods, or billing accuracy — are strictly between the landlord and the tenant. gSquare Labs has no obligation to mediate or resolve such disputes.
